To say that boards and directors operate in a challenging environment understates the complexity and pressures of board service. As directors continue to grapple with ever expanding agendas and complex issues in the boardroom, the Director’s Handbook provides a valuable practical resource that identifies 101 topics commonly encountered by public company directors. This valuable resource focuses on equipping individual directors to function at a higher level by arming them with general background on a topic and then questions to enable the director to gather the information required to reach an informed decision. It is designed as an excellent training tool for both new directors and younger lawyers entering the governance field.

Bruce Frederick Dravis Jul 18, 2017 Report Abuse
UNIQUELY VALUABLE TO CLIENTS AND TO LAWYERS! This is a book of questions, not answers. It is the list of questions that you want your corporate clients to ask in the boardroom, and on the phone to you. If your clients read the book, they will be asking questions that lead them to better decisions--including recognizing how complicated many situations really can be, and how valuable legal guidance is in sorting out the answers. The editor, Frank Placenti, started with a brilliant insight: No single legal treatise can hold the answers to all factual situations that clients encounter, but one book can hold the important questions that the clients and the lawyers should be asking. Across the 101 topics, there are 10 or more questions to get the conversations going on how to solve a problem. This book can also serve as a good reference for counsel who gets a call from a client on an unfamiliar topic, as a way to gather vital factual information quickly. Note: I contributed to the book, but my endorsement would be the same if I weren't included.

[This is intended for ABA editors more than for readers:] The first sentence of the Introduction, "The original Boy Scout Handbook, authored by Adam Baden Powell in 1910...", should be corrected to refer to Robert Stephenson Smyth Baden-Powell, not Adam.
