Program Description:

China is routinely revamping laws to catch up to the modern environment. New laws are passed to reflect the country’s development. The tightening of the M&A laws, revisions to the Company Law, and introduction of what is commonly called the Shanghai Free Trade Zone have opened doors. Although the changes attempt to encourage and streamline the process for foreign investment in China, they have broadened options – and allowed for innovative thinking- for how to set up a China business.
The seminar will not only explore the traditional business model and new alternatives to entering the China market, but also identify the most overlooked company protections in deciding the structure and information about how to possibly avoid (or minimize) disputes. Significant focus will be on the Shanghai Free Trade Zone and its innovative measures for doing business in the zone (such as facilitation and opening of service sectors to foreign investment, financial innovations and foreign exchange reforms).  It will also focus on M&A as an encouraged approach for foreign investments in to China, as well as the latest developments in China’s laws and their impact on foreign M&A. Appreciating the typical approach and knowing the options of the new innovative business structures provides businesses with choices, which have the potential to change the way China interacts with foreign companies entering its market. 
This is the second in a series of seminars that the China Committee of the ABA Section of International Law is conducting in the New York City metropolitan area on China legal issues.
